We are looking for a Director, Corporate Finance to join us in the exciting work we do at Green Impact Partners (GIP). Reporting to the Vice President, Finance, the Director, Corporate Finance will work closely with the Chief Financial Officer and the Vice President, Finance in executing all aspects of GIP’s project and corporate-level capital raising efforts. In this newly created role, the Director of Corporate Finance will also be the lead in managing the relationships and information needs of GIP’s capital providers including joint venture partners, equity investors and lenders. We are looking for an experienced, driven, self-starter with a sharp attention to detail.

Green Impact Partners is currently listed on the TSX Venture Exchange but may, in the future, seek a listing in the United States.

Accountabilities and Key Functions

  • Assist in capital raises for major projects (equity, senior debt, bridge financing, subordinated debt)
  • Build and maintain project-level economic and operating models
  • Liaise with all facets of the organization including corporate development, construction, technology, legal, regulatory, and operations to gather support for, evaluate, and update key project model inputs
  • Work closely with the Corporate Development team to provide initial indications of debt sizing and potential capital structures for new projects
  • Assist in the preparation and review of financing RFPs
  • Lead the preparation of financing data rooms for equity providers, joint venture partners and lenders
  • Prepare project cash flow forecasts and operating budgets
  • Maintain and forecast debt covenant calculations and provide reporting to multiple lenders
  • Execute debt drawdowns during project construction for multiple projects and capital providers
  • Manage processes around partner distributions and carried interest programs, including timely and accurate reporting to partners and shareholders
  • Oversee GIP’s financial hedging of interest rate risk
  • Assist or lead in the gathering of information and formulation of reports to support the final investment decision on projects
  • Take a lead role with third parties in the preparation of their reports to support financing efforts
  • Lead financing closing efforts in collaboration with other members of the GIP team and external parties such as legal counsel and other consultants
  • Conduct research of peer companies and related industry sectors for purposes of valuation analysis
  • Conduct analysis of the Company’s performance and evaluate key performance indicators (KPIs)
  • Assist with ensuring the Company complies with all securities laws and regulations
  • Work with lenders to obtain required consent for activities along with negotiating and executing debt amendments and renewals
  • Key member of the team that will evaluate, execute, and close on potential M&A transactions
  • Collaborate with the Company’s tax specialists and advisors to optimally structure transactions from a tax perspective
  • Work closely with legal and Corporate Development on the commercial structure of projects
  • Assist with special projects and other ad hoc requests, as directed

Who You Are

  • You have a strong working knowledge of corporate and project-level financing from initiation to close
  • You have relationships within the Canadian and US banking sector
  • You are able to multi-task and are comfortable in a high paced, fast-changing environment
  • You have the ability to work across multiple functional areas
  • You are comfortable working remotely

  • You have excellent Microsoft product capabilities, including Excel
  • You have strong people skills with the ability to work effectively with a diverse organization

Education

  • University degree in Business, Accounting, Economics, or a related discipline
  • A professional accounting or chartered financial analyst designation is considered an asset

Experience

  • 10+ years of experience preferably in the renewable energy or conventional energy sectors
  • Experience with project-level financing and dealing with project lenders
  • Experience working in a multi-entity, complex organizational structure
  • Experience building complex financial models from scratch
